Change of an Association’s Objectives

Required Documents and Guidelines

  •  Minutes of Meeting of the General Meeting regarding the resolution to change the Association’s objectives
The Association is entitled to change its objectives by means of a General Meeting resolution received by a majority of the eligible votes.
The Minutes of Meeting should be signed in the original by two Committee members, with their names stated.
The Minutes of Meeting will state the number of members who were present at the meeting and by what majority the resolution was received.
A General Meeting resolution regarding changing the objectives will be reached after the Association Committee’s has presented the meeting with the details of the assets accumulated for the Association's objectives prior to the requested change and the Association’s undertakings in this regard. Additionally, the same General Meeting will resolve whether certain arrangements are necessary in order to ensure that the assets accumulated during the period up to the change of objectives will be separated from the assets that will be received after changing the objectives and will be used only for those objectives prior to the change.

  • A Form for Reporting the Association’s General Assembly Resolution

  •  A Form for Reporting a Resolution for Changing Objectives
Fill-in the online reporting form, print it and submit it signed in the original by two Committee members, stating their names.
 
  •  Additional documents (an association that failed to submit legally required reports to the Registrar)
The Registrar of Associations will not be required to answer an application for changing the objectives of an association that has not fulfilled the reporting requirements in compliance with the Companies Law during two years prior to the application.
Accordingly, an association that has not fulfilled the reporting requirements as aforesaid will submit to the Registrar all the documents it is legally obliged to submit during the two years prior to the application as follows:
  1. ​Financial reports.
  2.  A list of the five highest paid salaries.
  3. Verbal Reports
  4. Minutes of Meeting from the General Meetings supporting the financial and verbal reports.
  5. Audit Committee recommendations on the matter of approving the reports by the General Meeting.
 
  •  The Registrar’s Resolution
The General Meeting’s resolution to change the Association's objectives is subject to the Registrar’s approval. The resolution is valid from the day of registration by the Registrar.
Changing the Association's objectives which the Registrar does not consider to be a “related objective” – is subject to a court approval.
The Association must report to the Registrar the date it has applied to court requesting to approve the change of objectives, as stated in the form for Reporting a Resolution for Changing Objectives.
Additionally, the Association should report, to the Registrar, the court’s resolution with regard to the application for changing the objectives.

Handling Time

  • Changing objectives in an association with standard Articles of Association - up to 10 working days from the date of receiving the application until its approval or sending a letter to the association.
  • Changing objectives in an association with special Articles of Association - up to 10 working days from the date of receiving the application until its approval or sending a letter to the association.
